Basic Terms and Conditions for Exhibitors


1) Definitions of Terms in the Clause

“Exhibition” refers to the “China Hangzhou International Auto Parts and Aftermarket Fair” held at the Hangzhou Grand Convention and Exhibition Center in China.

“Organizer” refers to Ningbo Oriental Harbor International Exhibition Co., Ltd.

“Exhibitor” refers to any entity that has been allocated an exhibition booth in accordance with the contract.

“Booth” refers to the allocated space for the exhibitor and the stand built on it.

“Exhibits” refer to the items displayed at the exhibitor’s booth.

“Exhibition Hall” refers to the hall and any related venue or room associated with the exhibition.

“Designated Service Provider” refers to the individuals or companies employed by the venue operator or organizer to build, assemble, or perform other work on the booth during the exhibition.


2) Exhibition Floor Plan and Booth Allocation

The exhibition floor plan is drawn by the organizer based on the structure of the exhibition hall. The exhibition contract between the exhibitor and the organizer must specify the booth number, area, type, fees, and payment method.

If the exhibitor fails to pay according to the contract, the organizer has the right to refuse to extend or cancel the booth requirements agreed in the contract.

All booth selections will follow the “first payment, first choice” principle, but the organizer reserves the right to make the final booth allocation based on product categories.

The dimensions and layout of the floor plan strive to be accurate, but the organizer may make changes as deemed necessary.


3) Exhibition Changes or Cancellations

If the products exhibited by the exhibitor do not match those submitted in the contract, are outside the specified exhibition range, or the exhibitor engages in retail activities at the exhibition, the organizer has the right to cancel the booth, expel the exhibitor from the venue, and no fees will be refunded.

The organizer reserves the right to cancel the exhibition, reduce its scale, change the venue, split the exhibition into multiple events, merge multiple exhibitions into one, extend, shorten, or reschedule the exhibition at any time.

If the exhibitor violates any obligations stated in this contract, including but not limited to respecting the organizer’s rights, legal protections, and interests, the organizer has the right to cancel the exhibition and the exhibitor must pay the organizer a penalty equal to the exhibition fee.

If the exhibitor fails to fulfill its payment obligations to the organizer or violates the terms of use of the exhibition venue, the exhibitor will lose the right to participate, and the organizer may unilaterally terminate the contract.


4) Exhibitor Cancellation or Breach of Contract

Exhibitors may not unilaterally terminate or cancel any agreed booth and related services in this contract. If the exhibitor terminates or cancels the contract early, the following applies:

a) If the exhibitor notifies the organizer of the cancellation three months before the start date of the exhibition, no matter the reason, all paid fees will not be refunded.

b) If the exhibitor notifies the organizer of the cancellation within three months before the start date of the exhibition, the exhibitor is responsible for paying all exhibition fees.


5) Force Majeure

The organizer is not responsible for any breach, non-performance, or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters; fire, flood, explosion, earthquake, storm, or other natural calamities; strikes or labor disputes; server failures or related issues; disease outbreaks, epidemics, or quarantine restrictions; travel restrictions; acts of any government, civil or military authority; embargoes, wars, riots, or public disturbances; material shortages (collectively referred to as force majeure). In such cases, the exhibitor has no right to cancel the contract or make any claims, especially for damages, against the organizer.


6) Intellectual Property and Image Recording

Exhibitors guarantee that their exhibits, packaging, and related public materials do not infringe or violate any third-party rights, including trademark rights, copyrights, designs, names, and registered or unregistered patents. The organizer is not responsible for verifying whether products infringe on others’ intellectual property rights. Any disputes arising from intellectual property rights are solely the exhibitor’s responsibility and unrelated to the organizer. If an exhibitor’s products, printed materials, promotional materials, or other items infringe on the intellectual property rights of other exhibitors, the organizer has the right to remove or confiscate the infringing products, printed materials, or promotional materials from the exhibition. Only individuals authorized by the organizer with valid credentials can photograph, sketch, or record videos in the exhibition hall. Violators may be required to submit the recorded materials and face further legal action. The organizer reserves the right to own and use photos, drawings, films, and videos made of the exhibits for advertising and general media publications.


7) Exhibitor Personnel Badge Regulations

During the exhibition, each 3 square meters of booth space entitles the exhibitor to one free exhibitor badge. Exhibitor personnel information must be submitted to the organizer ten days before the start date of the exhibition; otherwise, a fee of RMB 100 per badge will be charged. All exhibitor badges are numbered, non-transferable, and cannot be given or sold to unauthorized third parties.


8) Other Provisions

The organizer reserves the right to interpret, change, and revise any part of these terms and conditions, as well as issue additional rules (including but not limited to the “Exhibitor Manual” issued by the organizer and the “Exhibition Hall Manual” issued by the Hangzhou Grand Convention and Exhibition Center) as necessary to ensure the normal conduct of the exhibition. Without the organizer’s special approval, exhibitors may not dismantle or remove their booths or exhibits before the official end time of the last day of the exhibition. Exhibitors may only distribute their promotional materials within their booth space and not in any other part of the exhibition venue.


9) Relevant Laws and Clauses

This contract is governed by the laws of the People’s Republic of China.

The following terms apply to exhibitors registered in China:

If any disputes, controversies, or claims (collectively referred to as “disputes”) directly arise from this contract, or are related to its content, or result from its breach, termination, or invalidity, both parties should first attempt to resolve the disputes amicably. If a resolution cannot be reached, either party has the right to file a lawsuit in a court with jurisdiction in the organizer’s place of registration. The following terms apply to exhibitors registered outside of China: In case of any discrepancies between the English and Chinese texts of the contract, the Chinese text shall prevail.
